Welcome to ShipM (shipm.co). These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of the third-party logistics (3PL), e-commerce fulfillment, Amazon FBA prep, inventory storage, and freight management services provided by ShipM Logistics Inc. (“ShipM”, “we”, “us”, or “our”).
By signing a Service Level Agreement (SLA), opening an account, sending inventory to our facilities, or utilizing our website (shipm.co), you (“Client”, “Merchant”, “you”) agree to be bound by these Terms.
1. Services Offered
ShipM provides modern logistics and order fulfillment services, including but not limited to:
- E-Commerce Fulfillment Services: Receiving, storing, picking, packing, and dispatching direct-to-consumer (D2C) orders.
- Big, Heavy & Bulky Fulfillment: Warehousing, specialized material handling, and carrier distribution for oversized items.
- Amazon FBA Prep Services: Inspection, FN-SKU labeling, polybagging, bundling, and box-level content creation compliant with Amazon inbound requirements.
- Amazon Fulfillment (FBM & SFP): Merchant-fulfilled and Seller-Fulfilled Prime order processing.
- 3PL & B2B Distribution: Retail routing compliance, Electronic Data Interchange (EDI) processing, and LTL/FTL freight management.
2. Account Setup & Integrations
- Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
- Software Integration: ShipM integrates with third-party storefronts (e.g., Shopify, WooCommerce, Amazon, NetSuite). While we maintain continuous uptime, ShipM is not liable for service interruptions or data sync delays caused by third-party platforms or APIs.
3. Inbound Shipments & Receiving
- Inbound Notices: All inbound shipments sent to ShipM facilities must be accompanied by an approved Advanced Shipping Notice (ASN) created within the ShipM portal. Unannounced or improperly labeled shipments may be subject to processing delays, receiving surcharges, or rejection.
- Inspection & Acceptance: ShipM reserves the right to inspect incoming inventory for damage, safety risks, or compliance. ShipM is not responsible for manufacturing defects, concealed damage, or items damaged prior to physical receipt at our warehouse dock.
4. Service Guarantees & SLAs
ShipM stands behind its operational performance through the following guarantees, subject to the conditions outlined below:
- Zero-Shrink Inventory Guarantee: ShipM guarantees zero uncompensated inventory loss resulting from theft, mishandling, or physical damage occurring inside our facility. If inventory is lost or damaged by ShipM personnel, ShipM will reimburse the Client for the wholesale manufacturing cost of the affected product.
- 100% Order Accuracy Guarantee: If ShipM packs and dispatches an incorrect SKU or omits an item from an order, ShipM will re-ship the correct item at no additional fulfillment charge and credit the Client’s account $50 per verified incident.
- On-Time SLA Dispatch: Orders synchronized and cleared for fulfillment before 2:00 PM local warehouse time on business days will be handed to the designated carrier on the same day. If ShipM fails to dispatch a cleared order on schedule, fulfillment labor fees for that specific order will be waived.
Exclusions: Guarantees do not apply during force majeure events, severe weather disruptions, carrier pickup delays beyond ShipM’s control, inaccurate order data provided by the Client, or during explicitly designated peak holiday volume windows as outlined in your custom rate agreement.
5. Restricted & Prohibited Items
Client agrees not to ship or store any goods that are hazardous, illegal, dangerous, explosive, flammable, toxic, or regulated under federal, state, or international laws without prior written consent and appropriate documentation. ShipM reserves the right to dispose of prohibited or dangerous goods at the Client’s expense.
6. Rates, Fees, and Payment Terms
- Billing Structure: Services are billed according to your custom ShipM Rate Card, including storage (per pallet/bin), pick and pack labor, carrier postage, prep fees, and custom kitting.
- Payment Terms: Carrier fees and postage must be prepaid or cleared via automatic billing prior to shipment dispatch. Storage and recurring 3PL service fees are invoiced on a monthly or bi-weekly basis.
- Late Payments: Outstanding balances overdue by more than fourteen (14) calendar days are subject to a 1.5% monthly late penalty (or the maximum allowed by law). ShipM reserves the right to suspend fulfillment services and exercise a warehouse lien on inventory for delinquent accounts.
7. Warehouse Lien & Abandoned Inventory
- Warehouse Lien: ShipM maintains a legal warehouseman’s lien pursuant to the Uniform Commercial Code (UCC) on all inventory stored in our facilities to secure unpaid fees.
- Abandoned Goods: Inventory remaining in a ShipM facility with an unpaid balance or inactive account exceeding sixty (60) days after written notice shall be deemed abandoned. ShipM reserves the right to liquidate, sell, or dispose of abandoned inventory to satisfy unpaid accounts.
8. Limitation of Liability
To the maximum extent permitted by law, ShipM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business reputation arising out of or related to our services. ShipM’s total aggregate liability for any claim shall not exceed the total fees paid by the Client to ShipM in the three (3) months preceding the incident.
9. Term and Termination
- Month-to-Month Agreements: Unless specified in a custom enterprise contract, services are provided on a month-to-month basis without long-term lock-ins.
- Termination Notice: Either party may terminate the service agreement by providing thirty (30) days’ written notice. Upon termination, all outstanding account balances become due immediately, and the Client is responsible for freight costs associated with offboarding and removing remaining inventory.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in state or federal courts located within the United States.
